1. Definitions
In these Terms and Conditions, the following terms have the following meanings:
- "Givora", "we", "us", "our" — refers to Givora, based at Jalan Bukit Meldrum, 80300 Johor Bahru, Johor, Malaysia.
- "Programme" — refers to any educational course, workshop, or learning program offered by Givora.
- "Participant" or "you" — refers to any individual or organisation accessing our website or enrolling in a Programme.
- "Content" — refers to all materials, templates, checklists, recordings, and other resources delivered as part of a Programme.
- "Agreement" — refers to these Terms and Conditions as accepted by the Participant.
2. Acceptance of Terms
By accessing our website or enrolling in a Programme, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you should not use our website or enrol in any Programme.
You must be at least 18 years of age to enrol in a Givora Programme or to submit enquiries through our contact forms. By proceeding, you confirm that you meet this requirement and have the legal capacity to enter into this Agreement.
3. Description of Programmes
Givora offers educational programmes focused on nonprofit financial management. These include:
- Nonprofit Finance Basics Course (self-paced, approximately 3 weeks)
- Stewardship & Reporting Workshop (5 facilitated weekly sessions)
- Complete Nonprofit Financial Management Program (11 weeks, modules and live sessions)
All Programmes are designed to provide general educational information about financial management principles and internal practices for nonprofit organisations. They do not constitute regulated financial advice, accounting services, tax guidance, or any other form of licensed professional service.
Programmes are primarily delivered online. Participants based in Malaysia or elsewhere may enrol subject to meeting the requirements set out in the enrolment process.
4. Enrolment and Account Access
To enrol in a Programme, you will be asked to provide your name, contact details, and payment information. You are responsible for providing accurate information and for keeping your access credentials secure.
Access to Programme materials is granted upon receipt of full payment. Givora reserves the right to suspend or withdraw access if these Terms are breached.
5. Participant Responsibilities
As a Participant, you agree to:
- Use Programme content for lawful, personal or organisational educational purposes only.
- Not reproduce, distribute, share, or resell Programme materials without our prior written consent.
- Respect the learning environment in facilitated sessions, including the privacy and contributions of other participants.
- Not use our website or Programmes to engage in any conduct that could harm Givora or other participants.
6. Intellectual Property
All content delivered through Givora Programmes — including but not limited to course materials, templates, checklists, written guides, and recorded sessions — remains the intellectual property of Givora. Participants are granted a limited, non-exclusive, non-transferable licence to use Programme materials for their own organisational purposes during and after the Programme.
You may not reproduce or redistribute Programme materials for commercial purposes, sell access to materials, or claim authorship of any Givora content.
7. Payment Terms
Programme fees are stated in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless stated otherwise. Payment is required in full prior to accessing Programme content. Accepted payment methods will be communicated upon enrolment confirmation.
Refund Policy
Requests for a refund submitted more than 7 days before a Programme's scheduled start date will be considered and assessed on a case-by-case basis. Refund requests received after this period, or after Programme content has been accessed, will generally not be approved. Where a Programme is cancelled by Givora, a full refund will be provided.
8. Educational Scope and Disclaimers
All content delivered through Givora Programmes is intended as general educational guidance about financial management practices for nonprofit organisations. It is not a substitute for professional accounting, audit, legal, or tax advice.
Givora makes no representation that the completion of any Programme will produce specific financial outcomes, secure regulatory compliance, or satisfy auditor requirements. Participants are responsible for seeking qualified professional advice for matters specific to their organisation's obligations.
Programmes are provided on an "as available" basis. We reserve the right to modify, reschedule, or cancel sessions with reasonable notice to enrolled participants.
9. Limitation of Liability
To the extent permitted by Malaysian law, Givora's total liability to any Participant arising out of or in connection with a Programme shall not exceed the amount paid by that Participant for the relevant Programme.
Givora shall not be liable for any indirect, incidental, or consequential losses, including loss of income, opportunity, or data, arising from use of our Programmes or website, even if we have been advised of the possibility of such losses.
We are not responsible for circumstances beyond our reasonable control, including but not limited to technical failures, acts of nature, or government restrictions.
10. Indemnification
You agree to indemnify and hold Givora, its team members, and affiliates harmless from any claim, loss, or expense arising from your breach of these Terms, your misuse of Programme content, or any unlawful conduct connected to your use of our services.
11. Termination
Either party may terminate participation in a Programme by providing written notice. Where a Participant terminates after Programme access has begun, fees paid are generally non-refundable in accordance with the refund policy in Section 7.
Givora may terminate a Participant's access without notice if these Terms are materially breached. Provisions relating to intellectual property, disclaimers, limitation of liability, and dispute resolution shall survive termination.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt to resolve the matter informally by contacting [email protected]. If informal resolution is not achieved within 30 days, the matter shall be referred to the courts of Johor Bahru, Malaysia, which shall have non-exclusive jurisdiction.
13. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between Givora and the Participant.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure by Givora to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under this Agreement without prior written consent from Givora.
- Notices: Formal notices should be sent to [email protected].
14. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of our website or participation in a Programme after an update constitutes acceptance of the revised Terms. We will make reasonable efforts to notify enrolled participants of material changes.
